This website and concert on-demand service (“Website”) is operated by Unseen Archives Limited. References to “Unseen Archives”, “Unseen Steam”, "we", "us" or "our" are references to Unseen Archives Limited. These terms and conditions ("Terms and Conditions") are deemed to incorporate the link to Privacy and Cookie policy which you should read together with these Terms and Conditions.

Your use of this Website and your use or purchase of the products and services offered by Unseen Archives via this Website (the "Services") are at all times subject to these Terms and Conditions (which form a legally binding contract between you and us) and all applicable laws. By accessing the Website and using the Services you agree to be bound by the Terms and Conditions.

If you do not agree to any of the Terms and Conditions, then do not use the Website and do not use the Services.

You should keep a copy of these Terms and Conditions for your future reference. We will not file a copy of these Terms and Conditions in respect of our agreement with you. Please read these Terms and Conditions carefully before using this Website and using the Services. Unseen Archives is the data controller in relation to the personal information that you provide and all personal information that is collected about you in this way is subject to the Privacy Policy.

We reserve the right, from time to time, with or without notice to you, to change these Terms and Conditions at our sole discretion. The Terms and Conditions applicable to your access to and use of this Website and your use of the Services will be the version that is current and displayed on this Website as at each date you access this Website or use the Services (as applicable). Your use of this Website and your use of the Services after changes are made means that you agree to be bound by such changes. It is therefore important that you are familiar with the latest Terms and Conditions and you should make sure you read and comply with the latest Terms and Conditions displayed on this Website every time you access this Website or use of the Services.

2. Registration and Usage

2.1 To register with the Website, or to use any Services, as a minimum:

a) You must be at least 18 years of age. Persons under the age of 18 are not permitted to register and use the Services; and

b) You agree to provide us with personal details (including your name, email address, User name and password), that are true, complete and current, and you must agree to update us immediately (through the My Account section of this Website) if at any time your personal details change by updating the relevant sections of the Website; and

c) You will comply with the restrictions of your use of the Website and the Services as set out in these Terms and Conditions, and you confirm that you and your use of the Website and the Services (including each order you place for purchase through the Website) comply, and will continue to comply, with the Terms and Conditions

2.2 We reserve the right to refuse any application to register or to use or access the Website or any of the Services, terminate accounts, remove or edit content or cancel purchases or Services for any reason whatsoever. If we cancel a purchase, it will be without charge to you.

2.3 If you use this Website and use the Services, you are responsible for keeping the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities and transactions that occur using your account and/or password. You should take all necessary steps to ensure that your password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.

3. Registration

3.1 Provided that you meet the minimum conditions in clause 2 (Registration and Usage), you may register as a user of this Website free of charge (a "User"). To register you need to go to the relevant section of this Website, then submit your email address and create a password to be used in conjunction with that email address. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your Device (defined in clause 7.1 below).

3.2 Some of the content provided on this Website may not be suitable for anyone under 18 years of age. Access to such content should be supervised by parents or guardians for their children's use of this Website. We accept no liability to you for the content of the Website which you find offensive or objectionable or where you allow others to view such content using your account.

3.3 After you have registered with the Website, you may use the Services although you will not be entitled to obtain chargeable services unless you agree to the applicable charges. Please note that there are additional terms and conditions referred to in clause 4.5 that apply to your use of such Services. You will also be required to access payment via our payment provider PayPal (or account from another payment provider we make available such as WorldPay) to which any purchase will be charged.

3.4 Any terms and conditions relating to any Service that you use are deemed to be incorporated into these Terms and Conditions.

3.5 It is your responsibility to pay for all costs and expenses (including but not limited to, all telephone call or line charges or internet service provider access or subscription charges) that you may incur when using this Website.

4. Payment Details

4.1 There are no charges from Unseen Archives for accessing or browsing the Website.

4.2 The charges payable for the chargeable Services are set out on the Website at the time of purchase (inclusive of VAT) and may vary between products. We may at any time and from time to time, in our sole discretion, change the fees and charges, or add new fees and charges, in relation to any of the Services.

4.3 To subscribe for premium content or purchase DVDs you will need to provide payment using one of the payment methods referred to in more detail below. The applicable charge for any Service will be deducted using the payment method you have selected. We will send a confirmation email to your registered email address to confirm the amount of the applicable charge deducted using the payment method you have selected.

4.4 Our payment partner is PayPal,a global leader in secure payment processing, which accepts Visa Credit, Visa Debit, Mastercard Credit, Mastercard Debit, Vias Electron, Maestro, JCB and American Express

4.5 You agree that once you make payment using the selected payment method to access certain Services, subject to your statutory rights of recourse, you will not then be able to cancel your offer to use those Services and you will be charged for the relevant Services provided to you.

4.6 Refund Policy: You accept that the purchase of a subscription or DVD is subject to your device and internet connection meeting minimum technical standards as outlined here

5. Terminating Your Account

5.1 You may terminate your account with Unseen Archives at any time. Cancellation requests must be completed online through the My Account section of this Website. To terminate your account, you must notify us by clicking on the relevant section and following the instructions under the heading “terminate my account”. If you terminate your account with us, you will no longer be able to purchase subscriptions or DVDs from the Website. If you choose to use the Services in the future you will need to set up a new account using a different email address.

5.2 We reserve the right to suspend, restrict or terminate your access to this Website and the Services at any time without notice if we have reasonable grounds to believe that you have breached any of the restrictions or your obligations set out in these Terms and Conditions. This shall not limit our rights to take any other actions against you that we consider appropriate to defend our rights or those of any other person.

5.3 You agree that in using the Website and using the Services you will not:

a) Use the Website or the Services in any way that may lead to the encouragement, procurement or carrying out of any unlawful or criminal activity or purpose;

b) Use the Website or the Services in any way that interrupts, damages, impairs or renders the Website or the Services less effective;

c) E-mail, transmit or otherwise disseminate any content which is defamatory, obscene, in breach of copyright, vulgar or indecent or may have the effect of being harassing, threatening, abusive or hateful or that otherwise degrades or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, ethnicity, age or disability;

d) Advertise or promote third party or your own products or services including by way of the distribution of spam email;

e) Transfer files that contain viruses, spyware or other harmful programs; or

f) Access or attempt to access the accounts of other Users or to penetrate or attempt to penetrate the Website security measures.

6. All Content Remains Unseen Archives Property

6.1 All video, clips, images and metadata on this Website or forming part of the Services remain our property (or the property of our content suppliers) at all times and you will not copy or distribute any content on this Website or the Services in any way.

7. Our Service

7.1 Introduction

This section sets out further terms and conditions for use of the Website and the Services, which allow you to stream content to your PC, laptop or other authorised device capable of receiving them (a “Device”). We may determine in our sole discretion from time to time which Devices are authorised for you to stream content to and watch content on.

7.2 Watching content

7.2.1 To view the content by streaming it to your Device you must be connected to the internet; in each instance subject to the Viewing Period referred to in clause 7.2.2 below.

7.2.2 Upon purchasing a subscription, content may be viewed an unlimited number of times during the following 30 calendar days (known as a "Viewing Period"). This Viewing Period shall commence from the time payment is confirmed. Once this Viewing Period has elapsed, you will not be able to access the content without paying for a new monthly subscription. If the Viewing Period has elapsed and you have not started to watch the content, you will not be able to access the concert without paying for a new monthly subscription. 

7.3 Equipment, Systems and Connectivity

Your ability to stream and watch content will depend on you having the necessary equipment, systems and connectivity. Before you purchase a monthly subscription and watch any content, you must ensure that you have all necessary equipment, systems and connectivity to stream and watch the content properly. We are not able to specify particular requirements (which may vary) and are not responsible in any way for your ability to stream and watch content. However, minimum system requirements are specified in the Help section of this Website. You acknowledge that the availability of the streaming of content  may be affected by external issues, including issues relating to internet traffic congestion (whether due to bandwidth, connectivity of your broadband service or otherwise), minimum technical system requirements of the Device you use to access the Website or use the Services or other network, ISP, electronic, computer or other communication problems or failures (“Fault”) and that we are not responsible for any failure of any concert to stream (or to continue streaming) due to any Fault.

7.4 Restrictions

You acknowledge all intellectual property and other rights in the content that you stream or watch are owned by us or our content suppliers. To protect these rights, we stream content  to you using technology that protects digital information and limits your ability to watch content in accordance with certain usage rules established by us or our content suppliers (whether in these Terms and Conditions or on the relevant pages of this Website). Accordingly, you undertake that:

a) you will not, and will not authorise, encourage or assist any other person to, use the Website or Services or stream and watch content and any other content available on the Website, for any purpose other than personal, private use only (and not for any direct or indirect commercial purpose) in accordance with these Terms and Conditions;

b) you will not, and will not authorise, encourage or assist any other person to, copy, reproduce, lend, rent, broadcast, distribute or transmit any content;

c) you will not, and will not authorise, encourage or assist any other person to, circumvent, modify, remove, reverse-engineer, decompile, disassemble, alter or otherwise tamper with any security, encryption or other rights management technology or software that is part of any content of the Website or the Services or part of the means by which we stream the content to you; and

d) you will not encourage or engage in activities that infringe intellectual property rights owned or controlled by either us or any third parties, including but not limited to, the unauthorised P2P file-sharing of concerts, such as the unauthorised posting, streaming, making available, uploading, downloading or other distribution of concerts or alteration of any content. You will not facilitate such activities through any third-party owned/hosted websites and services.

7.5 Termination and Enforcement

You acknowledge that, in addition to any rights that we or content suppliers have (including those pursuant to clause 10), any breach of these Terms and Conditions will entitle us to terminate your use of the Services immediately and without notice. You specifically acknowledge our content suppliers have the right to directly enforce relevant provisions within these Terms and Conditions against you.

7.6 We reserve the right to change, suspend, or cease the Website and the Services, or any part of them at any time and without notice to you. In particular, we reserve the right to remove any content from our catalogue or to cease your streaming and watching of any content if necessary to comply with our obligations to our content suppliers. You agree that we will not be liable to you if we exercise those rights, except for a reasonable refund or credit, if appropriate, in respect of any content you have ordered, purchased to watch and not received the benefit of the appropriate Viewing Period in accordance with clause 7.2.2 by virtue of the change, suspension or cessation. 8. Prohibited Use of This Website

8.1 You agree not to upload, post, email or otherwise send or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, harm, damage, destroy or limit the functionality of any computer software or hardware or equipment linked directly or indirectly with this Website. You agree not to interfere with the servers or networks underlying or connected to this Website or the Services or to violate any of the procedures, policies or regulations of networks connected to this Website.

8.2 You agree not to:

8.2.1) impersonate any other person while using this Website;

8.2.2) conduct yourself in an offensive manner while using this Website; or

8.2.3) use this Website for any illegal, immoral or harmful purpose.

This licence does not include, and these Terms and Conditions prohibit: transfer of any right, title or interest in this Website or its content (except for the limited rights granted to you in respect of any concert rental you purchase, as expressly set out in these Terms and Conditions); any resale or commercial use of this Website or its contents; any collection and use of any product listings (including creation or publication of your own database that features substantial parts of this Website without Unseen Archives express written consent), descriptions or prices; any derivative use of this Website or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools (whether once or many times).

b) This Website, any portion of this Website, or any content available on it may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without our express written consent.

c) You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Unseen Archives  and its affiliates without express written consent. You may not use any meta-tags or any other hidden text utilising Unseen Archives or its affiliates and content suppliers names or trademarks without the express written consent of Unseen Archives. Any unauthorised use terminates the permission or licence granted by Unseen Archives under these Terms and Conditions.

d) You or any third party may not link to the Website, nor frame it, without our express written permission. We are not responsible for, shall not be liable for, and do not approve or endorse in any way whatsoever, the content of any other sites, including, without limitation, any other sites through which you may have gained access to the Website or to which you may gain access from the Website ("Other Sites"). Your access to, and reliance on, any content on any Other Sites is at your own risk.

e) All content included on the Website, such as, without limitation, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, trailers and software, is the property of Unseen Archives , its affiliates or its content suppliers and is protected by English and international copyright laws, related rights, database right laws and moral rights. The compilation of all content on this Website is the exclusive property of Unseen Archives and its affiliates and is protected by English and international copyright laws and database right laws. All software in connection with this Website is the property of Unseen Archives, our affiliates or our software suppliers and is protected by English and international copyright laws, related rights, moral rights laws and any other appropriate intellectual property rights.

f) You may not systematically extract and/or re-utilise parts of the contents of the Website without Unseen Archvies’ express written consent.

Unseen Archives, the Unseen Steam logo and all other Unseen Archives products or service marks are trademarks of Unseen Archives Ltd. All other trademarks, logos, images, product and company names displayed or referred to on this Website are the property of their respective owners. Nothing on this Website grants you any licence or right to use, alter or remove such material.

9.3 Use of Encryption

We use industry standard RTMPE streams and signed URLs to deliver the Service and we assume no liability or responsibility to you (or any third party) for any loss or damage whatsoever, including, without limitation, any direct, indirect or consequential loss (where consequential loss means loss arising as a side effect of the main loss) or damage in any way whatsoever arising from in any way whatsoever your (or any third party's) use of a Device to access the Service

10. General Terms and Conditions

10.1 Promotion Codes

Any promotion code or offer provided on this Website cannot be used in conjunction with any other promotion code or offer, past or present.

10.2 Indemnity by You

10.2.1 You agree to indemnify and hold Unseen Archives, their subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with any breach by you of these Terms and Conditions or any violation by you of any applicable laws or the rights of any third party in connection with your use of this Website or use of Services.

10.2.2 You agree to compensate and defend us fully against any claims or legal proceedings bought against us by any other person as a result of your breach of these Terms and Conditions or beach by you of any applicable law or rights of any third party.

10.2.3 If we take legal action against you for any breach of these Terms and Conditions and a court makes an award in our favour, you will be responsible for all costs allowable by the courts.

10.3 Disclaimer of Warranties and Limitations on Liability

10.3.1 Nothing in this clause 10.3 (Disclaimer of Warranties and Limitations on Liability) or otherwise in these Terms and Conditions shall exclude or in any way limit Unseen Archives' liability for:

a) fraud or fraudulent misrepresentation;

b) death or personal injury caused by its negligence (including negligence as defined in s.1 Unfair Contract Terms Act 1977);

c) any breach of the obligations implied by the following legislation and which cannot be disapplied: Sales of Goods Act 1979, the Supply of Goods and Services Act 1992 and Section 8 of the Supply of Goods (Implied Terms) Act 1973; or

d) liability to the extent the same may not be excluded or limited as a matter of law.

10.3.2 Subject to clause 10.3.1, in addition to the exclusion or limitation of liability set out in clauses 3.2, 4.4, 7.3, 7.6, 9.1(d), 9.3, 10.3.3, 10.3.4, 10.4, 10.8.1 and 10.10:

a) This Website and its contents are provided on an "as is" and on an "as available" basis and we make no representations or warranties of any kind with respect to it, including as to the accuracy, completeness or currency of this Website or its content.

b) We assume no liability or responsibility for any errors or omissions in the content of this Website or any failures, for downloading or streaming of content to the extent caused by a Fault or Force Majeure Event.

10.3.3 Subject to clause 10.3.1, in no event shall we, our shareholders, directors, officers, or employees be liable (jointly or severally), to you or any third party for any indirect consequential losses (where consequential loss means loss arising as a side effect of the main loss) and which are not a reasonably foreseeable consequence of such main loss or damage (which means that they could not be contemplated by you or us at the time of entering into these Terms and Conditions) whatsoever including but not limited to:

(a) loss of income or revenue;

(c) loss of profits or contracts;

(d) loss of anticipated savings; or

(e) loss of data, whether or not advised of the possibility of such damage, and on any theory of liability, arising out of or in connection with the use of the Website or the use of the Services.

If any applicable authority holds any portion of this clause 10.3 to be unenforceable, then liability will be limited to the fullest possible extent permitted by applicable law.

10.3.4 Subject to clauses 10.3.1, 10.3.2 and 10.3.3 our maximum liability to you, (whether in contract, tort, (including negligence), breach of statutory duty or otherwise), arising out of or in connection directly or indirectly with your use of this Website, or any Website content or your use of the Services shall not exceed in aggregate the greater of £1 or the total amount paid by you to us in respect of the Services in the month preceding any such claim.

Disputes arising from or in connection with your use of this Website and/or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

The Website and Services are only intended to be accessed from the United Kingdom. We make no representations that the Website or Services are appropriate or available for use at other locations and access from territories where the Website or Services are illegal are strictly prohibited. If you access the Website outside of the United Kingdom, you are responsible for the compliance with all local laws.

These Terms and Conditions are personal to you and are agreed to by you for your own benefit and not for the benefit of any other third party. Unseen Archives accounts and your other rights and/or obligations under these Terms and Conditions are not transferable and therefore cannot be sold or traded. Further, you may not assign, novate, transfer, sub-contract or otherwise dispose of any or all of your rights and/or obligations under these Terms and Conditions.

10.7 No Waiver

If we delay exercising or fail to exercise or enforce any right available to us under these Terms and Conditions, such delay or failure does not constitute a waiver of that right or any other rights under these Terms and Conditions. A waiver by us of any default shall not constitute a waiver of any subsequent default. No waiver by us shall be effective unless it is expressly stated to be a waiver and is communicated to you in accordance with clause 10.12.

10.8 Force Majeure

10.8.1 We will not be liable to you for any lack of performance, or the unavailability or failure, of this Website or any of the Services, or for any failure or delay by us to comply with these Terms and Conditions, where such lack, unavailability or failure arises from any cause beyond our reasonable control ("Force Majeure Event").

10.8.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

(a) strikes, lock-outs or other industrial action;

(b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

(c) fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

(d) impossibility of the use of railways, motor vehicles or any other means of public or private transport;

(e) impossibility of the use of public or private telecommunications networks; or

(f) the acts, decrees, legislation, regulations or restrictions of any government or government body.

10.9 Third Party Rights

Subject to clauses 9.1, 10.2 and 10.3, and excluding the provisions of clause 7.5 which confer benefits on third parties and content suppliers as applicable, which you acknowledge and agree shall be directly enforceable by such third parties, nothing in these Terms and Conditions confers on any third party any benefits under the provisions of the Contracts (Rights of Third Parties) Act 1999.

In accordance with clause 1.2, we may rescind, waive, assign, release or vary any or all of the provisions in this Agreement in any way without your consent or the consent of any third party. You will be subject to the Terms and Conditions in force at the time that you use the Website or that you purchase goods from us, unless any change to those is required to be made by law or government authority (in which case it will apply to purchases previously placed by you).

10.10 Entire Agreement

These Terms and Conditions (including the Privacy Policy and any other terms and conditions or document expressly referred to in these Terms and Conditions or usage rules incorporated into these Terms and Conditions) constitute the whole agreement between you and us relating to their subject matter and supersede any prior agreements, undertakings, representations, warranties and arrangements of any nature, whether in writing or oral, relating to such subject matter. Subject to clause 10.3.1, Unseen Archives has no liability to you for a representation or statement not set out in these Terms and Conditions.

10.11 Interpretation

In these Terms and Conditions, unless the context requires otherwise: i) any phrase introduced by the words "including", "include", "in particular", "for example" or any similar expression shall be construed as illustrative only and shall not be construed as limiting the generality of any preceding words; and ii) references to the singular include the plural and to the masculine include the feminine, and in each case vice versa.

10.12 Electronic communications

When you visit the Website or send e-mails to us, you are communicating with us electronically. We communicate with you by e-mail or by posting notices on the Website. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
